Acceptance of Terms

By accessing or using the Audacity Music platform, including our website, mobile application, and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference.

If you are using the Service on behalf of an organization or entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.

If you do not agree to these Terms, you may not access or use the Service.

Eligibility

You must be at least 13 years of age to use Audacity Music. If you are under 18, you must have the consent of a parent or legal guardian who agrees to these Terms on your behalf.

By using the Service, you represent and warrant that:

• You meet the minimum age requirement in your jurisdiction
• You have the legal capacity to enter into a binding agreement
• You are not barred from using the Service under applicable law
• You will comply with these Terms and all applicable local, national, and international laws

Audacity Music reserves the right to refuse access to any person at any time, for any reason, at our sole discretion.

Accounts & Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, complete, and current information during registration and to keep your account information up to date.

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account at security@audacitymusic.com

You may not share your account with others, create multiple accounts, or use another user's account without permission. Audacity Music is not liable for any loss or damage resulting from unauthorized account access.

Subscriptions & Billing

Audacity Music offers both free and paid subscription tiers. By subscribing to a paid plan, you authorize us to charge the applicable fees to your designated payment method.

• Billing cycles are monthly or annual, depending on the plan you select
• Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
• Price changes: We may modify pricing with at least 30 days' advance notice to your registered email
• Taxes: Prices shown may not include applicable taxes, which will be added at checkout based on your location

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until then.

Content & Uploads

Audacity Music allows users to upload, share, and distribute AI-generated music compositions and related content ("User Content"). By uploading content, you grant Audacity Music a worldwide, non-exclusive, royalty-free license to host, display, transmit, and distribute your User Content in connection with the Service.

You represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to upload your content
• Your content does not infringe any third-party intellectual property, privacy, or publicity rights
• Your content complies with these Terms and all applicable laws
• Your content does not contain malware, viruses, or harmful code

Audacity Music reserves the right to remove any content that violates these Terms or that we determine, in our sole discretion, to be inappropriate or harmful.

Earnings Program

Audacity Music offers an Earnings Program that allows eligible creators to receive compensation based on streams and engagement with their uploaded content. Participation in the Earnings Program is subject to additional terms and eligibility requirements.

• Eligibility: Creators must have a verified account in good standing and meet minimum stream thresholds as specified in our Creator Guidelines
• Payment: Earnings are calculated monthly and disbursed via your connected payment method, subject to a minimum payout threshold
• Taxes: You are responsible for all tax obligations related to earnings received through the platform
• Fraud prevention: Artificial manipulation of stream counts, including bots or automated systems, will result in immediate disqualification and account termination

Audacity Music reserves the right to modify, suspend, or discontinue the Earnings Program at any time with reasonable notice. Accumulated earnings prior to discontinuation will be honoured subject to verification.

AI-Generated Content

Audacity Music is a platform built around AI-generated music. By using the Service, you acknowledge and agree to the following:

• Content on the platform may be generated, curated, or enhanced using artificial intelligence systems
• AI-generated content may reflect patterns present in training data and does not constitute the views or opinions of Audacity Music
• You may not upload content that falsely claims to be human-created when it is AI-generated, or vice versa, in a manner intended to deceive
• Audacity Music does not guarantee the originality or uniqueness of AI-generated outputs and makes no representations about their copyright status under evolving law

Prohibited Conduct

You agree not to use the Service to:

• Upload, distribute, or promote content that is defamatory, obscene, hateful, or incites violence or discrimination
• Infringe any copyright, trademark, patent, trade secret, or other intellectual property right
• Attempt to gain unauthorized access to any part of the Service or its systems
• Reverse engineer, decompile, or extract source code from our applications
• Use automated tools, scrapers, bots, or crawlers to access or collect data from the Service without written consent
• Circumvent, disable, or interfere with security features of the Service
• Impersonate any person, entity, or Audacity Music staff member
• Engage in any conduct that restricts or inhibits others from using the Service
• Violate any applicable local, national, or international law or regulation

Violations may result in immediate account suspension or termination, legal action, and reporting to appropriate authorities.

Intellectual Property

All content, features, design elements, trademarks, logos, and technology comprising the Audacity Music platform (excluding User Content) are owned by Audacity Music or its licensors and protected by applicable intellectual property laws.

You may not reproduce, distribute, create derivative works from, or exploit any portion of the Service without express written permission from Audacity Music.

You retain ownership of User Content you upload to the platform. By uploading, you grant us the license described in Section 5. You may request removal of your content at any time; however, content shared publicly may have been downloaded or shared by other users prior to removal.

Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information about you. By using the Service, you agree to our data practices as described in that policy.

We collect only the data necessary to provide and improve the Service. We do not sell your personal information to third parties for advertising purposes.

Disclaimers & Limitation of Liability

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Audacity Music does not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Any content on the Service is accurate, complete, or reliable
• Defects in the Service will be corrected

To the maximum extent permitted by law, Audacity Music shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — the Service. Our total liability to you for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Termination

Either party may terminate these Terms at any time. You may terminate by deleting your account and ceasing to use the Service. Audacity Music may terminate or suspend your access immediately, without prior notice, for any breach of these Terms.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, and limitation of liability — will remain in full force.

If your account is terminated due to a Terms violation, any accumulated earnings may be forfeited pending review.

Changes to Terms

Audacity Music reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email or by displaying a prominent notice in the application at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account.

Governing Law & Contact

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Audacity Music is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
